The opportunity:
We are seeking an agile and detail-oriented Assistant Company Secretary to join our UK Corporate Governance & Company Secretariat team. You will play a pivotal role in upholding the highest standards of corporate governance and will act as a vital bridge between directors and executive management and the business.
This role is not just about statutory compliance; it is an opportunity to influence our governance frameworks, support our Independent Non-Executive Directors, and ensure a culture of continuous improvement and innovation.

What will you be doing?
- Provision of company secretarial assistance to the Life Assurance Board, and more widely as needed
- Support the operations of other UK boards, board committees and management committees
- Reviewing and managing constitutional documentation, preparing agendas, meeting packs, minutes, action lists and ensuring papers prepared by the function and from the wider business are of a high quality and adhere to in house principles
- Managing statutory filings on behalf of UK companies, including confirmation statements, financial statements, and changes of registered office address
- Leading on annual processes to support the operations of the team and wider business
- Identification, assessment and leading implementation of regulatory and legislative changes, as well as those relating to Group Governance arrangements
- Ensuring best practice corporate governance principles are implemented in all day to day activities
- Supporting the team’s delivery of Corporate Governance projects
- Identifying ways to improve efficiency and effective delivery of the department’s responsibilities through implementing key infrastructure to support the team and the wider business
- Supporting the teams management and oversight of the use of Board Intelligence by the wider business
- Undertake entity management utilising Diligent Entities
- Engagement with stakeholders across UK locations, predominantly at Swindon and London offices, with occasional interactions with teams in Ireland.
What are we looking for?
- Qualified (ICSA/CGI) Chartered Secretary/Governance Professional or an equivalent level of professional qualification and experience
- Educated to degree level
- Knowledge and experience of company secretarial work, particularly board and committee support
- Experience of common corporate governance frameworks
- Knowledge of underlying legislation and its application to practical situations
- Experience using entity management and board portal software
- Able to manage relationships at all levels of the business to influence the achievement of good commercial and governance outcomes
- Flexible and adaptable personal style
- Organised, pragmatic and able to effectively manage shifting priorities
