Senior Legal Counsel Reporting & Disclosure

The ESG Legal & Corporate Law Team is part of the Central Legal Team at Zurich Insurance Group in Zurich, Switzerland. It comprises lawyers and share register managers who provide legal advice and support on governance, ESG legal and corporate law matters to various stakeholders. The team is also responsible for corporate governance at Group level, managing Zurich Insurance Group Ltd’s share register and Annual General Meeting.

 

As Senior Legal Counsel Reporting & Disclosure, you will be the trusted legal partner for stakeholders responsible for reporting and disclosure, and the go-to subject matter expert for listing and securities law matters. You will also manage two lawyers whose work falls within the remit of the ESG Legal & Corporate Law team.

 

What you will do

 

  • Be responsible for legal aspects of corporate disclosure, in particular quarterly financial reporting, Annual and Half-year Reports, Financial Condition Report, ad hoc and other announcements;
  • Oversee listing requirements for Zurich shares and possibly other securities, provide support in relation with Zurich’s ADR program and manage regulatory reporting obligations with SIX Swiss Exchange;
  • Provide legal advice on reporting, disclosure, accounting and external audit matters to Group Financial Accounting and Reporting, Investor Relations, Group Communications, Group Compliance and other functions as relevant;
  • Monitor developments in securities laws and stock exchange regulations, assess impact on the organization and pro-actively inform and work with relevant stakeholders to agree on solutions for the organization;
  • Provide legal advice on responses to regulatory inquiries and contribute to consultation processes;
  • Provide legal advice on an ad hoc basis, develop and provide trainings for the business or within the legal function, contribute or lead legal initiatives to support the legal function and identify areas of simplification; and
  • Manage two lawyers—leading, coaching, and developing your direct reports to deliver high-quality, commercial advice within the ESG Legal & Corporate Law team’s remit. In this capacity, you will also oversee global subsidiary governance management.

 

What you will bring

 

  • Law degree (Master in Law; Attorney at law), ideally with a postgraduate qualification (e.g., LL.M.), with strong background in Swiss securities and corporate law.
  • At least 10 years of professional experience in a law firm and/or legal department of an organization listed at a stock exchange.
  • A proactive and autonomous mindset with a strong sense of ownership. Able to think strategically, commercially and creatively, finding pragmatic, risk-based, and business-oriented solutions.
  • Person of integrity and able to work under pressure in a professional way and with a commitment to being a team-player. Does the right thing and leads others to do the right thing.
  • Strong communicator, able to form effective working relationships with a variety of functions at all levels.
  • Excellent analytical, verbal, and written communication skills, combined with strong legal instincts and outstanding issue-spotting ability.
  • Ability to handle numerous and competing tasks and priorities, and to be resourceful and composed under pressure, coupled with excellent organizational and project management skills.
  • Excellent command of German and English both spoken and written is essential, other languages a plus.
